Topic: Acquisitions and Ownership Vote

Its time to vote again. In this round we have two proposals that require your ratification. One the acquisition of AJJE and their PARS system as an adjunct of Phoenix. Secondly and appropriately timed, the long over due vote of Member Policy 10. The two proposals are stated thus:

Acquisition of AJJE
Misty Wilson, acting on behalf of Phoenix Roleplaying as its elected representative, will hereby ratify the following agreement to Alex Verdusco, owner of AJJE Games:

1. Phoenix Roleplaying will take immediate and complete ownership of all copyrights - characters, original roleplaying settings, and any other intellectual copyright - held by AJJE Games.

2. Phoenix Roleplaying will enter into a long-term license, to last no less than five years, with Alex Verdusco in his role as the owner of the PARS posting technology to use the same technology to power some of the roleplaying environments on the Phoenix Roleplaying website.

3. The license referred to in 2 shall be bound by the following conditions:

3a. Alex Verdusco and/or a single designee of his choosing (hereafter referred collectively as Alex Verdusco), shall always have server access to PARS.

3b. Phoenix Roleplaying members authorized by Alex Verdusco are permitted to make adjustments to PARS. Anything that materially redefines the flow or alters the function of PARS shall not be classified as an adjustment and must have the approval of Alex Verdusco before being implemented.

3c. Should Phoenix Roleplaying violate condition 3a or 3b, Alex Verdusco shall have the right to remove PARS from the Phoenix Roleplaying website with a sixty day notice.

4. For absolute clarity, and the benefit of plain English terms, this agreement may be read as follows: Alex Verdusco will hand over all AJJE copyrights to Phoenix. Separately to this, Phoenix will license PARS from Alex Verdusco, on the conditions that Alex or his designee always have access to the PARS installation, that only Phoenix members authorised by Alex/his designee may adjust PARS code, and that any significant changes to PARS must have Alex/his designee’s approval. If these conditions are broken, Alex may terminate the license and remove PARS from the Phoenix website - however, even if this happens, Phoenix will continue to hold the copyrights.

5. In accordance with Alex Verdusco’s terms for our accepting PARS, a page will be maintained displaying his copyright to PARS and space will be made on the site for a brief history of the AJJE legacy.

Member Policy X: Sim Ownership
1. By creating a sim on the forums, a sim creator shares with Phoenix a perpetual, non-exclusive license to the ideas, content and titles of the sim.
2. The Phoenix RP community does not claim copyright or the like on the name or setting of the sim, but the players in the sim all own a share in the sim and its posts, as their collective intellectual property.
3. Credit will always be given to the sim creator of original sims as the originator of the idea
N.B. For the avoidance of confusion through language, this policy may be read as "Phoenix considers it the right of a sim creator to reopen the same sim elsewhere, however we also consider it the right of the players in a sim to continue playing so long as they wish to. We do not claim copyright, but do require that sim concepts, characters, etc be licensed to us to be used indefinitely."

Voting has been completed. Thank you everyone for your participation with these important propositions. It should be noted that we had a 57% turn out for eligible members in this vote. That amounted to 25 out of 44. The last general election we held had only 16 participants. Your input is invaluable as we strive to keep this democratically run site meaningful and responsive to our membership. On to the results....

Shall Phoenix roleplaying acquire AJJE Games as proposed? Yes 72%, No 28%. The measure is passed.

Shall Member Policy X: Sim Ownership be added to the official rules? Yes 96%, No 2%. The measure is passed.

By all means Silent. Yes, it was a rather remarkable turn out compared to past elections. I am very pleased with the many people that actively expressed their opinion.

Sorry for the delay.

I have emailed Alex the agreement, so we are waiting to hear back after he gets with the AJJE transition team. It has been suggested that we have our own, and even some FAQ's to help. Basically right now we are waiting to hear back that the our agreement is agreeable to them. Which is should be.

As for time frame, I'll have to defer that until I hear back.

Right you are. How will the transition team be made up? It occurs to me that it might be good practice, to ensure our continued accountability ethos, if our transition team could be built from stakeholders who volunteer to be part of it? The "no" vote - a third of all voters - should be represented to allow their continued engagement.

I'm just me and doing what I would like to see done from the GC if I was a member. smile I try to be as honest as possible in everything I do and say in my life, and Phoenix is not excluded from that. And I want Phoenix to flourish.

I have to make an adjustment to the previous posting regarding the team. It consists of: Euan, Dale, Kevin, Silent, and Deb. I am helping as I can, and Gio is included also in all the correspondences.
